SECTION 1. TERMS AND CONDITIONS

The following Terms and Conditions govern all access to and use of the Floriana Fabian store and govern all transactions entered into between Floriana Fabian and any Customer. These Terms and Conditions are effective as of July 15, 2026, and supersede all prior versions.

1.1 Binding Agreement. By accessing the Floriana Fabian store, browsing any product or content thereon, or completing any purchase, the Customer enters into a legally binding agreement with Floriana Fabian and agrees to be bound by all terms, conditions, policies, and notices contained herein. Acceptance is effected upon the Customer's first use of the store following the Effective Date of these Terms and Conditions, or upon the placement of any order, whichever occurs first. No separate signature or acknowledgment is required to constitute acceptance.

1.2 Eligibility. Use of the Floriana Fabian store and the placement of any order is restricted exclusively to individuals who meet all of the following criteria:

(a)The individual is at least eighteen (18) years of age at the time of use or purchase;

(b)The individual possesses the full legal capacity to enter into a binding contract under applicable law; and

(c)The individual is not prohibited from receiving products or services under the laws of any applicable jurisdiction.

Any individual who does not satisfy the foregoing eligibility requirements is prohibited from using the store. Floriana Fabian reserves the right to cancel any order and refuse service to any individual who misrepresents their eligibility.

1.3 Intellectual Property. All content appearing on or associated with the Floriana Fabian store — including but not limited to product photography, graphic design, branding, logos, trade names, text, product descriptions, styling, and all original creative works — is the exclusive intellectual property of Floriana Fabian, protected under applicable United States copyright, trademark, and intellectual property laws.

(a)Unauthorized reproduction, copying, distribution, modification, public display, resale, or any other unauthorized use of any Floriana Fabian intellectual property is strictly prohibited without the prior written authorization of Floriana Fabian.

(b)Any unauthorized use shall constitute infringement and may subject the infringing party to civil and criminal liability to the fullest extent permitted by law. Floriana Fabian expressly reserves all rights not explicitly granted herein.

1.4 Prohibited Conduct. The following conduct is expressly prohibited in connection with the Floriana Fabian store and constitutes a material breach of these Terms and Conditions:

(a)Engaging in any form of fraud, misrepresentation, or deceptive conduct in connection with any transaction, inquiry, or communication with Floriana Fabian;

(b)Initiating chargebacks, payment disputes, or payment reversals without first exhausting Floriana Fabian's authorized dispute resolution procedures set forth herein;

(c)Engaging in abusive, threatening, harassing, defamatory, or otherwise unlawful communications directed at Floriana Fabian or any of its representatives;

(d)Providing false, inaccurate, or misleading information in connection with any order, return request, or communication;

(e)Attempting to circumvent, exploit, or abuse any policy, promotion, or system of Floriana Fabian for personal gain or to the detriment of Floriana Fabian; and

(f)Any other conduct that Floriana Fabian, in its sole judgment, deems harmful to the integrity, reputation, or lawful operation of the Business.

1.5 Right to Refuse Service. Floriana Fabian reserves the absolute and unconditional right to refuse service, cancel orders, terminate accounts, or decline any transaction at its sole and exclusive discretion, without obligation to provide explanation or justification. This right may be exercised at any time and with respect to any individual or entity, including existing Customers.

1.6 Limitation of Liability. To the maximum extent permitted by applicable law, the total aggregate liability of Floriana Fabian arising out of or in connection with any transaction, product, or use of the store shall not exceed the total monetary amount actually paid by the Customer to Floriana Fabian for the specific transaction giving rise to the claim. Floriana Fabian shall not be liable for any indirect, incidental, consequential, exemplary, special, or punitive damages of any nature, whether arising in contract, tort, strict liability, or otherwise, even if Floriana Fabian has been advised of the possibility of such damages.

Governing Law. These Terms and Conditions, and all transactions, disputes, claims, or matters arising therefrom or related thereto, shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to any conflicts-of-law principles that would require the application of the laws of any other jurisdiction.

1.8 Dispute Resolution; Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, any transaction with Floriana Fabian, or any product or service offered by Floriana Fabian shall be resolved exclusively through binding individual arbitration, and not through any court proceeding, except as set forth below.

(a)Arbitration shall be conducted on an individual basis only. The Customer expressly waives any right to participate in any class action, collective action, representative proceeding, or multi-party arbitration with respect to any claim against Floriana Fabian. No arbitration commenced under these Terms and Conditions shall be consolidated with any other arbitration proceeding without the prior written consent of Floriana Fabian.

(b)The seat and venue of all arbitration proceedings shall be in the State of Delaware, United States of America. Notwithstanding the foregoing, Floriana Fabian reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or to prevent irreparable harm.

(c)Any claim or cause of action arising under these Terms and Conditions must be brought by the Customer within one (1) year of the date on which the claim arose, failing which such claim shall be permanently barred.

1.9 Severability. In the event that any provision of these Terms and Conditions is held by a court or arbitrator of competent jurisdiction to be invalid, unlawful, void, or unenforceable, such provision shall be deemed severed from the remainder of these Terms and Conditions. The validity and enforceability of all remaining provisions shall not be affected or impaired thereby, and all remaining provisions shall continue in full force and effect.

1.10 Modification of Terms. Floriana Fabian reserves the right to amend, modify, update, or replace any portion of these Terms and Conditions at any time and without prior notice. The most current version of these Terms and Conditions shall govern all transactions and interactions. The Customer's continued use of the store following any modification shall constitute full acceptance of the modified terms. It is the Customer's sole responsibility to review these Terms and Conditions periodically for any changes.
